Job description:
1. Statutory and tax compliance across three jurisdictions
- Nigeria: own all filings with the Nigeria Revenue Service (NRS, successor to FIRS from 1 January 2026) for the Nigerian entity: Companies Income Tax, the 4% Development Levy on assessable profits, VAT at 7.5%, Withholding Tax and PAYE. Implement NRS-mandated e-invoicing and fiscalisation, and work with Templars and Deloitte on statutory audit and Corporate Affairs Commission filings.
- United States: manage federal and Delaware obligations for the parent (Terrahex Digital Assets Corp., EIN 39-4747811), including franchise tax and federal returns.
- ADGM and UAE: manage statutory reporting for the ADGM holding company and UAE corporate tax, coordinating with Cavenwell (incorporation agent) and Deloitte, and monitor ADGM and FSRA thresholds relevant to digital-asset activity.
- Maintain transfer-pricing documentation and country-by-country positions for intercompany flows across the US, ADGM and Nigerian entities, and keep a Tax Position File for any arrangement offering a tax advantage, in line with the Mandatory Disclosure Rules under the Nigeria Tax Administration Act 2025.
- Monitor exposure to the 15% minimum effective tax rate and to Controlled Foreign Company rules as the group scales, and assess eligibility for the Nigerian Economic Development Incentive (5% capital-expenditure tax credit, successor to Pioneer Status).
2. US GAAP group accounting and consolidation
- Prepare monthly and annual consolidation of the Delaware parent, the ADGM holding company and the Nigerian entity under US GAAP.
- Own intercompany eliminations, multi-currency translation (NGN and AED functional to USD reporting) and the group chart of accounts.
- Maintain accounting policies, including the digital-asset policy under ASC 350-60, and support Deloitte through the annual audit.
3. Bitcoin treasury and digital-asset accounting
- Account for mined Bitcoin under ASC 350-60, effective for fiscal years beginning after 15 December 2024: measure holdings at fair value at each reporting date with changes recognised in net income, present crypto assets separately on the balance sheet, and produce the required roll-forward and significant-holding disclosures. Mined coins are in scope; the entity is treated as holder, not creator.
- Own custody and treasury: manage the Sygnum Bank custody relationship (eligible once the operating-history requirement is met, from around April 2027) and Hamilton Reserve Bank treasury banking. Run cold-storage controls, wallet segregation of duties, and a disciplined sale cadence across exchanges with same-day conversion to USD, in line with the treasury reserve policy.
- Track the Nigerian treatment of digital assets under the Investments and Securities Act 2025 (mining is a taxable event; disposals attract Capital Gains Tax) and applicable ADGM and FSRA requirements. Maintain AML and KYC discipline on every fiat off-ramp, consistent with the compliance suite (THX-AML-001 to THX-KYC-006).
- Build and reconcile unit economics: cost per Bitcoin mined, all-in power cost, and realised hashprice. Reconcile every investor-facing figure to the canonical financial model (currently V3.3) before use.
4. Investor, JV and project-finance reporting
- Produce the board pack and management accounts, with budget-versus-actual and variance commentary, reconciled to the canonical model.
- Administer the preferred-equity obligations across the investor SPVs: dividends at 15% per annum paid quarterly in arrears, the Year 5 conversion mechanics, and the 25% conversion bonus.
- Run JV reporting for the Oando (Kwale) and Shoreline (Afisiere) ventures. Keep the SPV-level waterfall (opex, operating reserve, the power partner's guaranteed distribution floor, and the 65/35 split) entirely separate from holdco-level investor obligations, and never conflate the two.
- Maintain the project-finance and capital-expenditure model (Phase 1 and Phase 2 build, mining fleet, transformers, containers and site infrastructure), including DCF, enterprise value and scenario analysis.
5. Controls, close and cash management
- Run a disciplined month-end close and maintain internal controls and segregation of duties consistent with the compliance suite.
- Manage cash and banking across USD (parent), AED (ADGM) and NGN (Nigeria), including FX conversion and liquidity.
- Own the fixed-asset register for the mining fleet (S19j XP now, S21 Pro refresh from April 2028), transformers, containers and site infrastructure.
- Lead the transition from the current outsourced finance model to an in-house function.
Qualifications and experience
- Qualified accountant: ACA or ACCA (ICAN valued for Nigerian statutory work). US CPA or demonstrable US GAAP consolidation experience strongly preferred.
- Seven to ten-plus years post-qualification, including a controller or senior finance role.
- Experience in energy, power, infrastructure, mining or heavy industry. Digital-asset or Bitcoin accounting is a distinct advantage.
- Multi-entity, multi-jurisdiction consolidation, ideally spanning the US, a Gulf or free-zone jurisdiction, and an African market.
Technical competencies
- US GAAP and IFRS, and Nigerian financial reporting as applied by the Financial Reporting Council of Nigeria.
- ASC 350-60 crypto-asset accounting and fair-value measurement under ASC 820.
- Nigerian tax under the 2025 Acts (the Nigeria Tax Act, the Nigeria Tax Administration Act, the Nigeria Revenue Service Act and the Joint Revenue Board Act), with working awareness of UAE corporate tax and ADGM and FSRA reporting.
- Financial modelling: DCF, enterprise value, scenario analysis and project finance.
- ERP and consolidation tooling, and NRS-compliant e-invoicing systems
Success measures (first 12 mos)
- Clean, on-time filings across the US, ADGM and Nigerian entities, with no penalties.
- ASC 350-60-compliant digital-asset accounting and treasury controls in place and audit-ready for Deloitte.
- Consolidated US GAAP accounts and a monthly close delivered to a defined calendar.
- A single, reconciled cost-per-Bitcoin and cost-per-MW reporting line trusted by the Board and JV partners, tied to the canonical model.
- A complete and defensible transfer-pricing file and Tax Position File across the three jurisdictions.
- A costed plan for the in-house finance build-out, including the first embedded junior controller.
