Position Type: Full Time

Location: Philippines (Remote)

Schedule: Monday to Friday, 8:30AM to 5:30PM EST

Salary Range: Php 75,000-Php 83,000

About the Role

We are seeking a highly organized and proactive Paralegal to support the economic development and incentives practice, as well as managing document flow for commercial transactions. This role is central to the firm's operations, involving high-stakes document management, version control, and the project management of complex business agreements requiring governmental approval. The ideal candidate is detail-oriented, tech-savvy, and capable of managing multiple workstreams while transitioning smoothly between periods of calm, focused work and high-intensity, fast-paced deal cycles.

Responsibilities

  • Economic Development & Incentives
  • Assist in drafting, reviewing, and organizing incentive agreements, including Fee-in-Lieu of Tax (FILOT) and Job Development Credits (JDC).
  • Coordinate directly with government agencies, economic development offices, and client stakeholders to ensure compliance and project progression.
  • Maintain comprehensive closing checklists and project timelines for development deals.
  • Track performance milestones and reporting obligations for state and local incentive packages.
  • Corporate & Transactional Support
  • Prepare and organize corporate governance documents and filings for domestic and multi-jurisdictional entities.
  • Help in drafting and revising commercial agreements, including NDAs, service agreements, and vendor contracts.
  • Support the M&A lifecycle by managing data rooms, diligence materials, and closing binders.
  • Monitor the firm's project status tracker for all open matters (typically 20+ active matters) to identify potential bottlenecks before they escalate.
  • Administrative & Operations
  • Manage document version control for negotiated agreements with a high degree of accuracy.
  • Maintain organized digital filing systems and document repositories.

Competencies and Qualifications

Must-Have

  • 3–5 years of experience in business transactions, M&A, or a related legal environment.
  • Proven experience with document-heavy workflows and version control.
  • Proficiency in Microsoft Word (Advanced), AI Tools, and Adobe/PDF management.
  • Exceptional attention to detail; accuracy in document formatting is critical.
  • Ability to take ownership of tasks and attempt to resolve issues independently.
  • Capable of transitioning smoothly between periods of calm, focused work and high-intensity, fast-paced deal cycles.
  • Strong professional presence with the ability to draft clear, business-oriented correspondence for clients and external parties.

Nice-to-Have

  • Bachelor's degree or equivalent professional experience.
  • Experience with CLIO or similar legal practice management/time-tracking software is highly preferred.
