Job Description

Job Summary

The Senior Legal & Compliance Manager is responsible for safeguarding Gallagher Philippines legal, regulatory, and compliance objectives. This role will provide critical legal advisory and support to management, manages corporate governance requirements, and manage compliance with control management activities, policy, and regulatory obligations of the organization, among others.

Key Responsibility

A. Legal Advisory

Draft, review, and negotiate commercial agreements including service agreements, TOBAs, NDAs, consultancy contracts, co-broking agreements, vendor contracts, and MOUs.

Ensure all contracts comply with local legal and regulatory requirements.

Provide legal advisory to management, as may be relevant to insurance and other commercial undertakings of the organization.

Liaise with external counsels as may be necessary.

Manage any company litigation as may be directed by management.

B. Regulatory Compliance

Measure, Monitor and Manage the organization's compliance with insurance laws and relevant regulations.

Draft and update compliance existing processes, procedures and guidelines as directed by regional stakeholders.

Serve as primary point of contract with SEC, IC, AML, NPC, and other regulatory bodies.

Serve as the primary point of contact for all data protection and records management matters.

Draft and update privacy and records and information management processes, procedures and guidelines as directed by regional stakeholders.

C. Controls Management

Identify legal, regulatory, and reputational risks and implement remediation plans as may be necessary.

Conduct controls validation, quality and other internal examinations and related exercises.

Ownership of the risk register and other documents relating to enterprise-related remediation plans

Ownership of KYC-related processes, including appropriate 2nd level vetting of KYC alerts.

Ownership of third-party vendor management processes, procedures and guidelines.

E. Training, Communication & Culture Building

Deliver appropriate training programs as may be relevant to AJG Compliance Program.

Educate stakeholders on recent regulatory updates, internal policy changes and other change management matters.

Promote a strong and appropriate culture of ethics and compliance in the organization.

Qualifications

Juris Doctor degree and admission to the Philippine Bar.

35 years of experience in corporate or commercial law, preferably in insurance or financial services.

Strong knowledge of commercial laws and insurance regulations.

Strong communication and analytical skills.
