Role Summary
The Sr Associate will support the Legal Offshore Team across vendor contracts management and key legal
operations processes, including Billing, Corporate Governance, LPFMA/Side Letter administration, Registered
Funds support and related legal tasks.
The role will primarily focus on vendor contract lifecycle management and requires sound contract fundamentals,
strong process discipline, attention to detail, and the ability to independently manage routine matters while
escalating exceptions appropriately.
As a Senior Associate, the individual is also expected to serve as a Subject Matter Expert (SME) for assigned
processes, providing day-to-day guidance to Associates, reinforcing process standards and best practices,
supporting the resolution of complex or escalated matters, and helping Associates consistently achieve established
quality, productivity, and service targets.
Beyond day-to-day execution, the individual is expected to identify opportunities to improve and standardize legal
processes through automation, technology, and appropriate use of approved AI tools.
About The Team
The Legal Department serves as an internal advisor, providing oversight and counsel across all firm departments.
As part of the client's corporate governance structure, the department monitors legal and regulatory changes. It offers
guidance on a range of business matters, negotiates contracts, and structures new products for emerging business lines.
The Legal Offshore team supports a range of legal operations and contract management activities, working closely
with onshore and internal stakeholders to ensure accurate, timely, and well-controlled execution of processes.
Core Responsibilities
- Vendor Contracts Management o Manage vendor contracts from intake through execution, tracking, and
record-keeping. o Review contracts and supporting documents for completeness, accuracy, and key
contractual requirements. o Coordinate with legal, business teams, and vendors to progress requests
and resolve outstanding items.
- Monitor renewals, expirations, key dates, and required follow-ups.
- Identify and escalate contractual issues, exceptions, risks, or delays as appropriate.
- Legal Operations Support
Provide primary or back-up support across key Legal processes, including:
- Billing – processing, reconciliation, and related coordination. o Corporate Governance – Class
Actions/FRT, notifications, recurring reports, Form D, and Blue Sky logging.
- LPFMA – Side Letter logging, tracking, and record maintenance. o Registered Funds –
provide back-up support for requests and related activities as needed.
- Support other Legal processes based on business needs and team capacity.
- Stakeholder Management o Provide timely and clear updates to Legal, business teams, vendors, and
other stakeholders.
- Follow up on outstanding items and escalate risks or delays proactively.
- Process Improvement, Technology & AI o Identify opportunities to simplify, standardize, and
automate workflows.
- Use technology and approved AI tools to improve efficiency, accuracy, tracking, and reporting.
- Support process improvements and maintain current SOPs, trackers, and controls.
Requirements
Qualifications
- Working knowledge of contract lifecycle management, including review, execution, tracking, renewals, and
recordkeeping.
- Ability to review contracts for completeness, key requirements, and items requiring Legal escalation.
- Strong organization and follow-through across multiple workstreams, deadlines, and SLAs.
- Clear and professional communication with Legal, business teams, vendors, and other stakeholders.
- Comfortable using contract management systems, workflow tools, repositories, and databases.
- Proficient in Excel and Outlook for tracking, reconciliation, and reporting.
- Tech-savvy and open to using approved AI and automation tools to improve processes.
- Willing to support adjacent Legal processes as needed.
- Experience in financial services, investment management, or another regulated environment is an
advantage.
- Amenable to working from 3:00PM–12:00AM PHST.
Education and Experience
- Bachelor's/College Degree in Legal Management, Legal Studies, Political Science, Business Law, or a
related field.
- At least 1 year of hands-on experience in contracts management, contract administration, legal operations,
or a similar legal environment.
- Experience supporting vendor or commercial contracts is strongly preferred.
- Experience managing contract trackers, document repositories, approval workflows, or similar legal
operations tools is preferred.
- Exposure to process improvement, automation, or AI-enabled tools is an advantage.
- Law degree holder is a plus but not required.
