Our client is a U.S.-based technology company specializing in lead generation, marketing technology, data solutions, and customer acquisition. Operating in a highly regulated industry, the company partners with businesses across multiple sectors while maintaining strict compliance with evolving federal and state privacy, advertising, and consumer protection laws.

About the Role

Our client is seeking an experienced Commercial Contracts Paralegal to become the company's primary resource for commercial contract drafting, negotiation, and compliance. This role will support a fast-growing technology business by preparing, reviewing, negotiating, and managing a broad range of commercial agreements while helping the organization navigate an evolving regulatory landscape.

One of the first major initiatives for this position will be reviewing and updating the company's existing buying agreements to ensure compliance with recent regulatory changes, including California SB37 and Colorado SB26.

The ideal candidate has extensive experience drafting complex commercial contracts, enjoys working independently, and is comfortable partnering with executive leadership and outside counsel to support strategic business initiatives.

Responsibilities

  • Draft, review, revise, negotiate, and manage a broad range of commercial agreements, including vendor agreements, service agreements, marketing agreements, lead purchase agreements, data licensing agreements, SaaS agreements, partnership agreements, employment agreements, NDAs, Statements of Work (SOWs), amendments, and addenda.
  • Review and update existing agreements to ensure compliance with applicable federal, state, and local laws and regulations.
  • Lead revisions to buying agreements related to California SB37, Colorado SB26, and other evolving regulatory requirements.
  • Research legislative and regulatory developments affecting lead generation, marketing, advertising, privacy, consumer protection, and data licensing.
  • Manage the full commercial contract lifecycle from drafting and negotiation through execution, renewals, amendments, and record maintenance.
  • Develop, maintain, and improve contract templates, clause libraries, and standardized legal documentation.
  • Review, analyze, and redline third-party agreements while identifying legal, commercial, and compliance risks.
  • Coordinate with outside legal counsel on complex contractual matters and specialized legal reviews.
  • Collaborate with executive leadership and cross-functional teams to support business initiatives while minimizing legal and compliance risks.
  • Build and maintain organized contract records and documentation using contract management tools and internal systems.
  • Recommend improvements to contract workflows, approval processes, documentation standards, and legal operations.
  • Serve as the company's primary internal resource for commercial contract drafting, negotiation, and contract management.

Requirements

  • 5+ years of professional experience drafting, reviewing, and negotiating commercial contracts.
  • Demonstrated experience drafting vendor, service, licensing, marketing, technology, SaaS, lead purchase, and other complex commercial agreements.
  • Proven experience managing the complete commercial contract lifecycle.
  • Experience reviewing agreements for compliance with federal, state, and local regulatory requirements.
  • Experience supporting organizations with multi-state regulatory compliance.
  • Strong understanding of commercial contract negotiation, legal terminology, contract risk assessment, and business law principles.
  • Exceptional written English communication skills with outstanding legal drafting ability.
  • Excellent attention to detail and document accuracy.
  • Strong legal research, analytical, organizational, and problem-solving skills.
  • Ability to independently manage multiple priorities in a fast-paced business environment.
  • Ability to effectively collaborate with executives, business stakeholders, and outside legal counsel.

Bonus Experience

  • Experience supporting companies in the lead generation, marketing, SaaS, technology, media, or advertising industries.
  • Experience working with California SB37, Colorado SB26, TCPA, CCPA, and other U.S. privacy and consumer protection regulations.
  • Familiarity with state privacy laws, advertising compliance, and data licensing regulations.
  • Experience using DocuSign, Google Workspace, Asana, Trello, Slack, or commercial contract management software.
  • Experience creating standardized contract templates, clause libraries, and legal documentation systems.
  • Experience improving contract approval workflows and legal operations processes.
  • Paralegal certification or formal legal education.
  • Experience using ChatGPT, Claude, or similar AI tools to improve legal research, contract drafting, documentation, and workflow efficiency.
