Legal Manager

MAIN RESPONSIBILITIES

• Provide expert legal advice and strategic guidance to senior management on company law, banking-related matters, commercial contracts, regulatory compliance, risk management, corporate governance, and litigation.
• Oversee, review, draft, and negotiate a wide range of corporate, commercial, and banking-related agreements and legal documents, including vendor agreements, service agreements, NDAs, shareholder agreements, joint venture agreements, and other contracts.
• Represent the company in all legal matters and proceedings, including court appearances, negotiations, and interactions with regulatory authorities.
• Establish and maintain internal legal policies and frameworks to guide operations and ensure consistency in legal practices.
• Provide strategic legal advice to senior management and business units to support informed decision-making and business growth.
• Strengthen corporate governance practices by ensuring that company policies, procedures, and decisions align with legal and ethical standards.
• Develop, implement, and maintain legal policies and procedures to ensure full compliance with applicable laws, banking regulations, and industry standards.
• Conduct legal research and compliance assessments across the organization's various lines of business to support decision-making and business operations.
• Identify potential legal and regulatory risks in transactions and operations, and provide practical recommendations for risk mitigation.
• Monitor changes in banking laws, regulations, and legal developments, and advise senior management on their impact on the organization.
• Conduct thorough reviews of supplier and third-party contracts to ensure legal compliance and protect the company's interests.
• Maintain proper archiving, organization, and safekeeping of all legal documents and records.
• Establish and maintain internal legal policies and frameworks to guide operations and ensure consistency in legal practices.
• Support business objectives and strategic initiatives through legal analysis and advisory services.
• Perform other duties and responsibilities that may be assigned from time to time.

KEY QUALIFICATIONS:

• Must be a Lawyer / Bar passer with active membership in good standing with the Bar.
• Juris Doctor (JD) degree from an accredited law school.
• Minimum of 5 years of legal experience, preferably in banking and financial services.
• Strong knowledge of banking laws, regulations, and compliance requirements.
• Proven ability to provide strategic legal advice in a fast-paced, highly regulated environment.
• Strong legal research, negotiation, and presentation skills.
• Excellent stakeholder management, communication, and interpersonal skills.
• Highly analytical with strong problem-solving ability.
• Experience in a law firm is an advantage.
• Trustworthy and able to maintain strict confidentiality.
• Strong teamwork skills and ability to work effectively with cross-functional teams.
