Roles And Responsibilities
Ensure the company complies with all applicable corporate and regulatory laws, including the Philippine Corporation Code and Labor Code.
Draft, review, and negotiate various contracts such as service agreements, leases, and partnership deals.
Advise the companys leadership on corporate governance practices and ensure
compliance with company policies and bylaws.
Identify potential legal risks in the companys business operations and provide strategies for risk mitigation.
Support corporate transactions such as mergers, acquisitions, joint ventures, and investments.
Represent the company in legal disputes, both in court and alternative dispute resolution forums.
Advise on employment law issues, ensuring compliance with labor regulations, and resolving employee-related legal matters.
Work closely with government regulatory bodies like the SEC and BIR to ensure proper filings and compliance.
Maintain thorough documentation of all legal matters, corporate records, and regulatory filings.
Requirements
Juris Doctor (JD) or Bachelor of Laws (LL.B.) from a reputable university.
Licensed to practice law in the Philippines and a member in good standing of the Integrated Bar of the Philippines.
Minimum of 2 years of experience handling corporate legal matters, either in a corporate environment or law firm.
Strong knowledge of corporate, labor, tax, and intellectual property laws in the Philippines.
Proficient in contract drafting and negotiation.
Strong analytical and communication skills, with attention to detail.
Nice To Have
Previous experience in handling mergers and acquisitions, corporate transactions, or cross-border deals.
Familiarity with international corporate law practices.
