Your Role:

Job Summary

The Junior Legal Counsel will serve as a key member of the legal team, providing hands-on support across employment counseling, litigation management, compliance and general corporate affairs. This role is ideal for a proactive lawyer looking to balance a specialized focus on labor relations with a broad generalist portfolio including corporate secretarial duties, compliance, and contract management.

Key Responsibilities and Accountabilities

Employment Counseling & Litigation Management

  • Labor Relations: Provide actionable legal advice on daily HR issues, including disciplinary actions, terminations, employee grievances, and interpretation of labor standards.
  • Litigation Support: Directly represent the company in administrative proceedings (e.g., NLRC/DOLE) and manage the lifecycle of active cases.
  • External Counsel Liaison: Assist in managing relationships with external firms, ensuring timely updates and alignment on strategy for complex litigation.
  • Risk Mitigation: Draft and review internal memoranda, employment contracts, and workplace policies to ensure compliance and minimize legal exposure.

Corporate Secretarial & Governance
  • Board Support: Assist the Corporate Secretary, responsible for drafting minutes of Board meetings, preparing Secretary's Certificates, and managing the Stock and Transfer Book.
  • Records Management: Ensure the systematic safekeeping and updating of all corporate records and regulatory filings.
  • Corporate Development: Support strategic transactions by assisting with due diligence, document preparation, and post-closing administrative integration.

Contracts & Commercial Support
  • Drafting & Review: Review and negotiate a variety of agreements, including local vendor contracts, international service agreements, and non-disclosure agreements (NDAs).
  • Standardization: Help maintain and update contract templates to streamline the company's daily operations.

Regulatory Compliance & Privacy
  • Compliance Monitoring: Assist in monitoring changes to laws and local ordinances, ensuring the company's policies remain up to date.
  • Privacy & Ethics: Support the Data Privacy Officer (DPO) in promoting best practices in data protection and corporate governance across all Probe Group entities.
  • Paralegal Supervision: Review work products prepared by the Paralegal team to ensure technical accuracy and alignment with company standards.
Qualifications:
  • Member of the Philippine Bar in good standing
  • Juris Doctor or Bachelor of Laws degree holder
  • Minimum three (3) years work experience in a corporate setting or as member of a major law firm with specialization in litigation and corporate and labor practice
  • Extensive experience in drafting and reviewing corporate and legal documents, corporate secretarial work, and regulatory compliance Experience with PEZA applications and tax compliance is an advantage Ability to interpret labor laws and social legislation, as well as analyze the application of labor law to specific situations
  • Excellent analytical skills with demonstrated ability to analyze legal advice and then apply it to business needs
  • Qualified and capable of representing the company or its officials in various legal proceedings
