We are seeking a highly experienced and strategic General Counsel to lead our organization's legal function and serve as a key advisor to executive leadership and the Board.
Work-set up: Onsite, Dayshift, Makati
This role is ideal for a senior legal professional with strong business acumen, executive presence, and extensive experience in corporate governance, regulatory compliance, and risk management.
Key Responsibilities
Strategic Legal Leadership
- Develop and execute the organization's legal strategy aligned with overall business objectives
- Provide executive-level legal counsel to senior leadership and the Board
- Identify and mitigate legal and regulatory risks across business operations
- Oversee litigation management and external legal counsel
Corporate Governance & Secretariat
- Lead Board and Executive Committee coordination, including meeting documentation
- Ensure compliance with corporate governance standards and regulatory requirements
- Oversee annual shareholder meetings and statutory filings
- Manage corporate records, capitalization changes, and regulatory submissions
Compliance & Risk Management
- Ensure full compliance with applicable laws, regulations, and industry standards
- Conduct proactive compliance audits and risk assessments
- Develop crisis management and compliance response strategies
- Provide regulatory guidance on investments, partnerships, and new initiatives
Contracts & Transactions
- Draft, review, and negotiate commercial contracts and strategic agreements
- Provide legal support for mergers, acquisitions, and restructuring activities
- Safeguard intellectual property and corporate assets
Quality & Process Oversight
- Lead and oversee the organization's Quality Management System (QMS)
- Drive initiatives toward international certification standards (e.g., ISO)
- Monitor key performance indicators and recommend continuous improvement strategies
Government & Regulatory Affairs
- Represent the organization before government agencies and regulatory bodies
- Monitor legislative developments and assess business impact
- Build and maintain strong relationships with key stakeholders
Qualifications
- Licensed lawyer in good standing
- Minimum 10 years of progressive legal leadership experience
- Extensive background in corporate governance, compliance, and regulatory affairs
- Experience at Director / VP / SVP / Executive level preferred
- Strong negotiation, strategic thinking, and stakeholder management skills
- Proven ability to operate at Board and Executive Leadership level
