Job Purpose:
Provide high level support to the legal department by acquiring the information needed for legal research, document preparation and other assignments; ensure compliance of the Group in accordance to legislation.
Responsibilities:
Secretarial Duties:
- Prepare, organize and maintain all corporate records in accordance to the applicable laws and regulations in the respective country/region.
- Ensure all statutory fillings are completed accurately and timely.
- Prepare, arrange and notify respective parties for board meetings; disseminate agendas and take minutes.
- Follow up with respective parties for signing of official documents.
- Draft board resolutions and consents. Review and recommend board members/ officers for annual elections.
- Take charge for all new entities incorporation and closure of existing entities.
- Handle confidential correspondences; disseminate information to respective stakeholders.
- Support in other ad-hoc matters from time-to-time e.g. restructuring etc.
Requirement:
- Education: Bachelor's Degree: A degree in Law, Legal Studies, or a related field is generally required.
- Proven experience managing multinational corporate secretarial portfolios, along with a local corporate secretarial qualification. Additional overseas qualifications are not necessary, as CSC will provide guidance on country-specific requirements.
- Strong ability and willingness to manage the corporate secretarial process, ensuring adherence to deadlines and attention to detail.
- Legal experience is advantageous but not mandatory
