The role
The Corporate Secretary will play a critical role in supporting the Group Corporate Compliance function and ensuring strong corporate governance across the organization's Philippine entity. This role is responsible for managing board, committee, and stockholders meetings; preparing and maintaining official corporate documents; and ensuring full compliance with regulatory requirements set by Philippine authorities. The Corporate Secretary will also work closely with senior management and cross-functional teams to uphold governance standards, maintain accurate corporate records, and facilitate timely regulatory submissions.
Your Responsibilities
Corporate Governance & Regulatory Compliance
- Serve as the Corporate Secretary for Philippine entity, ensuring full adherence to statutory and regulatory requirements.
- Oversee the preparation and timely submission of filings with regulators, including the Securities and Exchange Commission (SEC), Bureau of Internal Revenue (BIR), and local government units.
Board & Committee Support
- Coordinate all formalities for board and committee meetings, including scheduling, preparing board packs, and drafting accurate minutes and resolutions.
- Maintain comprehensive corporate records and ensure proper execution and safekeeping of official documents.
Documentation & Coordination
- Prepare and manage a wide range of corporate documents such as minutes, resolutions, and filings.
- Liaise with internal teamsincluding Corporate Compliance, Legal, and Financeto ensure seamless information flow and compliance alignment.
- Coordinate with external stakeholders such as auditors, bankers, professional advisors, lawyers, and notaries for notarization, legalization, and regulatory matters.
- Work with external firms and third-party service providers on documentation and compliance requirements.
Reporting & Administration
- Prepare and submit quarterly compliance reports for all Philippine entities.
- Support compliance reviews, audits, and ongoing corporate governance initiatives.
- Perform other related duties as assigned to support the governance and compliance function.
What We're Looking For
Education & Experience
- Bachelor's degree in Corporate Governance, Business, Law, or a related field
- Minimum of 8 years experience in corporate secretarial, legal, or governance roles; in-house experience is an advantage
- Strong experience preparing board minutes, resolutions, and corporate documents
Skills & Competencies
- Proficient in Microsoft Word and Excel
- Knowledge of legal documentation, AML/KYC requirements, and regulatory compliance
- Detail-oriented, organized, and able to work independently under tight deadlines
- Excellent written and verbal communication skills in English
