Role Overview:
The Contract Specialist joins DAT's Legal team to support business growth by administering contractual documents that establish business relationships with customers, vendors, and partners. The role focuses on managing contract lifecycles, ensuring compliance with company policies, and collaborating across internal and external teams.
Key Responsibilities (What You'll Do):
Contract Drafting & Negotiation
- Contract Administration: Manage the contracting process for Non-disclosure Agreements (NDAs), Sales Agreements, Purchasing Agreements, Consulting Agreements, Licensing Agreements, and Partner Agreements.
- Drafting & Review: Draft, evaluate, and negotiate assigned contracts in accordance with company policies and best practices.
- Risk Assessment & Redlining: Review proposed terms and conditions from customers/vendors, assess risks, provide redlined recommendations, and negotiate until consensus is reached.
- Cross-Functional Collaboration: Work closely with legal, finance, sales, product development, and external parties to ensure timely review and approval of terms.
- Stakeholder Advisory: Clearly explain contract terminology and legal positions to internal and external stakeholders using accessible language.
Database & Systems Management
- Contract Repository: Manage and maintain the contracts database, retaining records of correspondence, changes, and project documentation.
- Software & Process Implementation: Assist in implementing new contract management software and developing modernized procedures for contract administration.
- Policy & Governance Support: Assist in maintaining Product Terms & Conditions, Company Policies, and Data Governance Policies.

Technical & Professional Experience
- Data Governance & Privacy: Experience working with data governance and data security issues is a plus.
- CLM Systems: Experience utilizing a CLM (like Ironclad)
- CRM Systems: Experience utilizing CRM software (Salesforce experience preferred).
- SaaS: Experience negotiating SaaS contracts (sales and procurement)
- Sales Cycles: Familiarity with typical B2B sales cycles and commercial practices.
