We are seeking an experienced Associate Attorney to support our corporate services practice, specializing in company formation, corporate structuring, and corporate secretarial work. The role involves advising clients on entity setup, ensuring regulatory compliance, and managing ongoing corporate governance requirements. You will work closely with entrepreneurs, startups, and established businesses to establish and maintain compliant corporate structures.
Key Responsibilities
- Advise clients on corporate structuring, entity selection, and optimal business structures.
- Handle company formation, including preparation and filing of incorporation documents.
- Provide corporate secretarial support such as preparing board resolutions, shareholder resolutions, and maintaining corporate records.
- Ensure compliance with regulatory requirements and corporate governance standards.
- Assist with corporate changes such as amendments to articles, share transfers, and changes in directors or officers.
Qualifications
- Member of the Philippine Bar
- At least 3 to 5 years of experience in corporate and commercial law, with exposure to corporate structuring, company formation, and corporate secretarial work. Litigation and labor experience would also be considered an advantage.
- Experience working with startups, medium to large scale businesses, or corporate services firms would be a plus.
- Highly organized with strong attention to detail and documentation.
- Excellent written and verbal communication skills.
