Job Summary
The Senior Legal Counsel provides frontline legal support to business units by drafting, negotiating, and managing commercial contracts aligned with regulatory and internal governance requirements. The role ensures fast, compliant, and wellstructured transactions by embedding strong risk controls and practical legal guidance. It also drives operational implementation of legal advice by working closely with crossfunctional teams. The position further strengthens the organization's legal capabilities through template management, playbooks, and proactive knowledge building.
Key Responsibilities
A. Contract Drafting, Review & Negotiation
- Draft, review, and negotiate MSAs, SOWs, NDAs, service agreements, licensing/POC agreements, marketing/ad agency contracts (e.g., DTI permits), and other commercial documentation
- Ensure inclusion of critical risk controls, including termination rights, limits on liability and indemnities, audit rights/MORB compliance, data privacy, information security safeguards, IP, nonsolicit, and service credit frameworks
- Produce clean markups and executiveready issue lists with clear recommendations and fallback positions
- Align contract templates and structures with internal governance standards and regulatory requirements (e.g., BSP/MORB outsourcing, data privacy, consumer protection)
B. Legal Consultancy & Operationalization
- Provide practical, businessready legal advice with clear implementation steps
- Lead alignment calls with BU, Compliance, Procurement, IT, InfoSec, Data Privacy, and Operations to ensure legal guidance is fully operationalized
- Prepare playbooks, decision trees, and guidance tools for recurring matters (e.g., liability caps by risk tier, changerequest mechanics)
- Advise on regulatory notifications, governance triggers, and when BSP outsourcing rules apply
C. Template & Knowledge Management
- Maintain and periodically enhance templates, clause libraries, and regulatory schedules
- Capture lessons learned from negotiations and integrate them into playbooks and knowledge bundles
D. Transaction Support & Governance
- Support intake triage, prioritization of deliverables, and coordination with internal counsel and paralegals
- Document deviations from standard clauses and manage necessary approvals under governance protocols
E. Stakeholder Management & Communication
- Serve as the primary legal point of contact for assigned business units and ensure stakeholders receive clear, timely updates
- Translate complex legal issues into concise, actionable guidance, including onepage summaries of key risks or changes
Qualifications
- Bachelor of Laws (LLB) or Juris Doctor (JD); must be a Philippine Bar passer in good standing
- 25 years of experience in commercial contract drafting and negotiation, preferably with inhouse experience in banking/financial services or a law firm
- Strong knowledge of contract structuring, risk allocation, limits on liability, indemnity drafting, and core corporate/commercial law principles
- Excellent legal writing, contractdrafting skills, and the ability to translate legal issues into businessfriendly guidance
- High attention to detail, strong communication skills, and the ability to manage multiple matters simultaneously while using tools such as MS Word redlining and playbooks
