Job Summary
The Senior Legal Counsel will play a key role in providing legal guidance and support across various business functions, ensuring compliance with regulatory requirements, and mitigating legal risks. This position will oversee legal operations, contracts, corporate governance, and regulatory affairs while providing strategic counsel to senior management.
Key Responsibilities
Legal Advisory & Compliance
- Provide expert legal advice on corporate, real estate, labor, and commercial law matters
- Ensure compliance with all relevant local and international laws, regulations, and corporate policies
- Monitor changes in legislation and advise management on potential impacts
Contract Management & Negotiations
- Draft, review, and negotiate contracts, agreements, and legal documents to protect company interests
- Ensure that contractual terms align with business objectives and mitigate risks
- Collaborate with various departments to ensure smooth contract execution and enforcement
Corporate Governance & Regulatory Affairs
- Support corporate governance initiatives, including board resolutions and regulatory filings
- Liaise with government agencies, external counsel, and regulators to ensure legal compliance
- Maintain corporate records and ensure adherence to company policies and ethical standards
Litigation & Risk Management
- Manage legal disputes, litigation, and alternative dispute resolution proceedings
- Develop strategies for risk mitigation and oversee legal risk assessments
- Represent the company in negotiations, settlements, and legal proceedings as necessary
Qualifications & Experience
- Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree. Must be a licensed lawyer in the Philippines.
- Minimum of 8-12 years of legal experience, preferably in corporate law, real estate, or a related industry.
- Strong expertise in contract negotiation, corporate governance, and regulatory compliance
- Excellent problem-solving, analytical, and negotiation skills
- Strong leadership and stakeholder management abilities
- Experience working with government agencies, regulators, and external legal partners
