Senior Legal Counsel

Lhoopa is a technology-enabled housing company working to make affordable homeownership more accessible to families across the Philippines.

As the business continues to grow across multiple markets, the legal questions become more complex: how we finance growth, structure entities and investments, work with lenders and investors, navigate regulatory requirements, and make sure transactions can actually be implemented.

We're looking for a Senior Legal Counsel who can take ownership of that kind of work.

This is not primarily a contracts-review role.

The core of the position is corporate finance, restructuring and strategic transactional work.

What You'll Own

You'll work closely with the VP, Legal & Compliance, Finance and senior management on:

• Financing transactions — debt, equity and other funding arrangements, including related loan, investment, security and corporate documentation
• Corporate restructuring and legal structuring — reorganisations, ownership changes, entity formation, share or asset transfers and intercompany arrangements
• Transaction execution — taking matters from initial structuring through negotiation, approvals, documentation and closing
• Corporate governance — board and shareholder actions, share issuances and transfers, corporate approvals and governance documentation
• Regulatory and strategic legal matters affecting the company's operations and growth
• Working directly with Finance, lenders, investors, counterparties, regulators and external advisers

You may also handle or support matters involving real estate, commercial agreements, disputes and other operational legal issues when needed.

But we're not looking for one lawyer who is an expert in everything.

The Experience That Matters Most

You should be qualified to practice law in the Philippines and a member in good standing of the Philippine Bar, with approximately 7+ years of relevant legal experience.

More important than the number of years is the complexity of the work you've personally handled.

Your strongest experience will ideally be in one or more of the following:

• Banking and finance
• Corporate finance
• Corporate / M&A
• Corporate restructuring
• Special projects or complex commercial transactions

Experience in real estate, project finance, securities, infrastructure or regulated businesses would be valuable, but you do not need to be an expert in all of them. You may currently be working as a Senior Legal Counsel, Legal Manager, Corporate Counsel, Senior Associate, Managing Associate or in a similar role.

We're also open to lawyers currently in private practice who are ready to move closer to the business.

How was it structured What did you personally own What did you negotiate What were the difficult legal or commercial issues How did you help get the transaction to closing

We're looking for someone who combines strong technical legal capability with commercial judgment. Someone who can identify risk, explain what actually matters, and help management understand the available paths forward.
