Job Description

Associate General Counsel Manager (Lawyer)

Location: Quezon City

Work Setup: Hybrid (3 days onsite, 2 days work-from-home)

Work Schedule: Mon to Fri 8am to 5pm PHT

About the Role

We are seeking an experienced and business-oriented Associate General Counsel Manager to provide legal support across multiple business functions. This role will partner closely with leadership and cross-functional teams to deliver practical legal guidance on commercial transactions, corporate governance, privacy, intellectual property, employment matters, and litigation management while protecting the organization's interests and ensuring regulatory compliance.

Key Responsibilities

  • Provide legal advice and counsel to business leaders and internal stakeholders on corporate and commercial matters.
  • Partner with business units to identify legal risks and develop practical solutions.
  • Support and enforce legal policies, procedures, and governance standards.
  • Assist with corporate governance, entity management, public filings, and board-related matters.
  • Monitor legislative and regulatory developments and advise on potential business impacts.
  • Support privacy and data protection compliance initiatives, including policy and process updates.
  • Collaborate with internal teams to address privacy, data strategy, and regulatory requirements.
  • Participate in intellectual property matters, including patent and trademark reviews, infringement assessments, and dispute support.
  • Advise on employment and labor law issues in partnership with HR and management.
  • Support litigation, disputes, investigations, subpoena responses, and eDiscovery activities.
  • Draft, review, negotiate, and interpret a wide range of commercial agreements, including software licensing, SaaS, professional services, and online terms and conditions.
  • Work with business stakeholders to resolve contractual issues and facilitate successful negotiations.
  • Serve on the board of Philippine legal entities, including acting as Company Secretary and potentially as a Director.

Qualifications

  • Bachelor's Degree in Law or related field.
  • Licensed Lawyer.
  • 6–8 years of relevant legal experience.
  • Strong background in IT, technology, software, or related industries.
  • Proven experience in contract drafting, review, negotiation, and risk assessment.
  • Knowledge of corporate governance, privacy regulations, commercial transactions, and compliance matters.
  • Excellent communication, stakeholder management, and problem-solving skills.

Preferred Skills

  • Experience supporting technology, software licensing, SaaS, or digital services businesses.
  • Familiarity with intellectual property, data privacy, employment law, and litigation management.
  • Ability to work effectively with cross-functional teams and senior leadership.
  • Strong commercial judgment and business acumen.
