Senior Assistant Vice President, Debt Markets

The position holder is responsible for the overall strategic management of the finance

related activities of the Renewable Group (1RE). The position holder links 1RE to APC and

AEV and vice-versa, and provides the standards and platform for the continuing

enhancement of financial operations and revenue opportunities. The position holder serves

as a key adviser to the ARI Board and Executive Committee in identifying and analyzing

opportunities and risks for the business from both a financial and broader business

perspective.

Responsibilities:

Strategic Direction and Leadership

• Directs the timely and accurate analysis of financial reports and budgets, financial trends and forecasts, market conditions, and other developments that impact on the financials of 1RE for effective management decision making
• Evaluates BU strategic plans and programs and makes recommendations for enhancement
• Evaluates BU performance in the achievement of financial objectives; recommends new programs or strategies to enhance performance or further regulatory activities

Comptrollership

• Oversees the development and ensures the implementation of policies, systems, and procedures for internal control to safeguard the cash and assets of 1RE, including the approval processes for financial transactions, inventory management systems, asset monitoring and disposal processes, and supply management procedures
• Leads the development of and ensures the execution of Plant Performance Metrics to monitor plant efficiency in converting fuel into power and delivering generating capacities
• Reviews and approves financial transactions within the Limits of Authority defined for the position

Corporate Finance

• Key adviser to the ARI Executive Committee in the areas of Renewable Energy, M&A, financing, valuation, and Corporate Finance on both local and international investments.

Revenue Management

• Ensures effective forecasting of customer demands and the capacity of power plants to manage the contracting level of 1RE portfolio to identify key risk areas.
• Ensures that revenue and gross margin modelling process is done across 1RE as required for planning and budgeting, rolling forecasts, warchest and all other analyses.
• Reviews the gross margin performance reports for each of the business units vs. budget, LTF and strategy.

Financial Planning and Systems

• Provides directions for the financial planning activities of 1RE
• Cascades directives of 1RE and provides corporate data requirements to ensure alignment of BU strategic plans with 1RE and AP.
• Provides guidance to BUs in the development and implementation of finance policies and procedures to ensure standardization across the BUs
• Provides leadership in the acquisition and implementation of new systems to standardize the recording and reporting of financial transactions across BUs (e.g. Oracle); ensures that these implementations are aligned to the overall AP direction.

Accounting

• Provides strategic leadership across 1RE in dealing with critical accounting issues including treatment of accounts, revenue recognition, use of tax credits, implementation of BIR findings, interpretation and application of regulations on withholding taxes, VAT recovery, real property tax assessments, and interpretation of finance related provisions of Power Supply Agreements.
• Ensures the submission of accurate and timely financial reports by all BUs required for management information and decision making.
• Ensures the submission of accurate and timely financial reports in compliance with government requirements.

Audit

• Sets the directions for the conduct of internal and external audits
• Directs compliance with findings of internal and external audits, business process reviews, and risk assessments
• Directs the compliance with findings and settlement of issues of BIR audits

Billing and Collection

• Reviews financial provisions of Power Supply Agreements
• Ensures correct interpretation of financial provisions of the PSA and its application into billing details
• As part of the Credit Committee, recommends the approval of new customers based on credit analysis reports and collection solutions for delinquent customers; ensures customers compliance with negotiated special payment arrangements of past due accounts
• Formulates and ensures implementation of the Billing and Collection policies, systems, and processes

Finance

• Presents the Financial Reports to AP and AEV for corporate monitoring, performance evaluation, and decision making.
• Provides financial strategic rationale during acquisition and/or divestment of assets related to the existing businesses (refer to AP FINLOA)
• Directs the conduct of feasibility studies for new projects; evaluates reports and recommends viable projects for implementation related to existing business (refer to AP FINLOA)
• Monitors the application processes, both regulatory and financial, required for the execution of new projects
• Supports project financing or plant re-financing and other loans procurement by ensuring the accuracy and completeness of the required documentation and the
• Preliminary Information Memoranda (PIM); presents the financials of projects to banks and other financial institutions in support of the BUs applications for financing when necessary
• Directs the documentation processes required for claiming CERs; leads the marketing and sale of carbon credits in the international market
• Manages the sourcing and use of foreign exchange requirements of the BUs in coordination with Group FinCom
• Directs the consolidation of cash flow projections across BUs; manages the sourcing of the fund requirements to meet capital budgets
• Monitors the import of equipment and parts to ensure correct implementation

Statutory and Regulatory Compliance

• Directs compliance with finance related corporate governance, risk, statutory, and regulatory regulations
• Directs due submission of tax and other finance related regulatory requirements to ensure full compliance and to avoid penalties

Tax Planning and Compliance

• Leads and strategizes tax planning based on consolidated tax concerns and scenarios of different 1RE BUs. Leads and strategizes tax planning based on consolidated tax concerns and scenarios of different 1RE BUs.
• Ensures that the maximum tax incentives and other benefits extended to renewable energy companies and greenfield development projects are availed of, including VAT exemptions and BOI exemptions on importations of parts and machineries.
• Ensures execution of tax plans across BUs for standardized implementation, optimal availment of incentives, and for cash management purposes

Risk Management

• Sets direction for the development of a Financial Risk Management Program inclusive of risk identification and assessment and the recommendation and implementation of risk mitigating measures and activities across 1RE.
• Directs derivatives valuation of the basic and underlying variables of the factors and indices of power generation.
• Develops and implements hedging strategies to mitigate or offset financial risks
• As a member of the Insurance Management Committee, defines policies and guidelines on insurance management and monitors the implementation of the insurance program across 1RE to ensure full coverage and maximum awards for claims.

Minimum Qualifications

• Must be a graduate of Bachelor's Degree in Accountancy
• Preferably Juris Doctor
• Preferably Master's degree in Business Administration
• Preferably CFA
• With at least 10 years experience in general accounting, loans, and investments
• With at least 10 years experience in executive role
• With at least 5 years experience in project financing
