We are hiring a
SEC Reporting Analyst for a
Data Extraction & Analytics company in the
Financial Services/Technology industry. This is a
PART-TIME remote role for a
Houston, Texas based company. This role is ideal for someone with a strong understanding of SEC filings and corporate capital structure who thrives as the human layer of accuracy in a high-tech automated pipeline.
Key Responsibilities
- Outstanding Shares & Float Verification: Review automated extractions of outstanding shares and float from filings (10-K, 10-Q, 20-F, S-1, etc.) and cross-reference against filing text.
- Beneficial Ownership Audit: Verify data from SC 13G/D filings, including affiliate, insider, and 5%+ shareholder stakes.
- Capital Structure Analysis: Calculate expected float (outstanding minus restricted/insider shares) and flag mismatches or unexplained share count jumps.
- Dilution & Financing Review: Verify share issuance amounts, warrant terms (strike price, share count), and debt conversions against source filings and press releases.
- Corporate Action Validation: Confirm stock split adjustments, ADR ratio accuracy, and dilutive impacts of private placements or public offerings.
- Feedback Loop: Collaborate with the engineering team to improve AI extraction accuracy based on your verification findings.
Required Qualifications
- Deep SEC Expertise: Expert-level familiarity with where to find data in 10-K/Q cover pages, DEF 14A proxy tables, and 8-K corporate event filings. (non-negotiable)
- Technical Knowledge: Strong understanding of authorized vs. issued vs. outstanding shares and the mechanics of dilution (warrant exercises, conversions, etc.).
- Filing Proficiency: Experience with specific forms including S-1/F-1 (IPOs), 6-K (foreign issuers), and SC 13G/13D (ownership).
- Detail Orientation: High attention to detail and comfort with repetitive, investigative, and verification-focused work.
Preferred Qualifications
- Experience with SEC EDGAR full-text search and advanced navigation.
- Familiarity with the small-cap and micro-cap equity markets.
- Previous experience in financial data QA, reconciliation workflows, or as a securities paralegal.
- Understanding of ADR structures and ADS-to-ordinary-share ratios.

Schedule & Pay
- PART-TIME position; approximately 20 hours per week.
- Weekday hours aligned with the Central Time (CST) time zone.
- This is a fully remote job for a Houston, Texas based company.
- Pay ranges from $800 to $1500 USD per month, depending on experience level (Associate vs. Senior) and depth of capital structure expertise.
- Annual raises, bonuses, confirmed holidays, and PTO.
