Job Description:
The Legal Operations & Corporate Governance Manager is responsible for building, maintaining, and managing the legal infrastructure of PERSERVX Group and ClearLine Group. This role ensures that all legal documentation, corporate governance records, investment agreements, and deal documentation across the group are properly prepared, organized, and maintained. The role acts as the central legal operations hub for the organization, coordinating between the CEO, external legal advisors, accountants, and corporate service providers. This position focuses on legal systems, documentation, governance, and compliance, ensuring the organization operates with institutional-grade legal discipline. This role does not provide legal advice but ensures that legal processes, documentation, and corporate governance obligations are executed accurately and efficiently.
- Build and maintain a Legal Document Master Library
- Maintain full corporate governance compliance across all entities
- Prepare deal documentation efficiently using standardized templates
- Coordinate external lawyers and advisors effectively
- Maintain accurate corporate and trust records
- Reduce legal costs by improving internal documentation systems
- Enable the business to execute deals faster and more efficiently

Trustee resolutions
Trust distribution resolutions

Investment And Capital Documentation:
Master loan agreement templates
Investor loan agreements
Security agreements
Promissory notes
Investor disclosure documentation
Property And Development Documentation:
Joint venture agreements
Development agreements
Option agreements
Property acquisition documentation
Property due diligence checklists
Operational Legal Documents:
NDA templates
Contractor agreements
Employment agreements
Referral agreements
Introducer agreements
Service agreements
- Deal Documentation Preparation
Prepare legal documentation packages for investment deals and property transactions
Including:
Loan agreements using template structures
Investor documentation packages
SPV governance documentation
Director resolutions for transactions
- Corporate Governance & Board Administration
Prepare And Maintain:
Director resolutions approving company decisions
Shareholder resolutions
Written board approvals
Board meeting minutes where required

- Corporate Compliance and ASIC Administration
Maintain Compliance Across Australian Entities Including:
ASIC company registers
Director and shareholder records

- Trust Governance Administration
Maintain Trust Records Including:
Trustee resolutions
Trust distribution documentation
Trustee appointment records
Trust governance documentation
- SPV Governance Management
Maintain Documentation For Each SPV Including:
SPV company formation documents
SPV director resolutions
SPV investor approvals
SPV loan agreements
SPV governance records
- ClearLine Group Legal Administration
Support Legal Operations Related To:
Referral agreements
Partnership agreements
Commission structures
Property sales agreements
Agent engagement agreements
Partner onboarding documentation
- Legal Workflow Coordination Coordinate between:
CEO
Commercial lawyers
Property lawyers
Tax advisors
Accountants
Corporate service providers
International advisors
- Responsibilities include briefing lawyers, coordinating document review, tracking legal
- matters, and ensuring proper document execution.
- Legal Systems & Document Infrastructure
Build and maintain the companys Legal Command Centre using tools such as:
ClickUp legal workflow management
Google Drive or SharePoint secure document storage
DocuSign or PandaDoc contract execution
1Password secure credential storage
- Investor Documentation Support
Prepare Investor Documentation Including:
Investor loan agreements
Investor onboarding documentation
Security documentation
Investor reporting templates
- International Structure Administration
Assist With Documentation Relating To International Entities Including:
Cyprus holding companies
International trusts
Cross-border corporate governance records
Qualification And Requirements:
