Role Overview
This role supports the General Counsel and legal team across governance support, intellectual property administration, contract support and legal operations in a listed-company and international business environment.
The successful candidate will take ownership of recurring, execution-heavy legal workstreams, maintain high-quality records and trackers, improve visibility and discipline across key legal processes, and escalate issues requiring legal judgment appropriately.
This is a high-trust, hands-on role for someone who is organised, reliable and comfortable working independently, while knowing when to escalate non-routine or higher-risk matters. The role is ideal for a legal infrastructure builder with enough legal capability to operate safely and support a scalable, well-controlled legal function.
Job Duties and Responsibilities
The successful candidate will be responsible for the following key workstreams:
Governance and Corporate Secretarial Support
- Support the maintenance of accurate and reliable governance records across the Group, including board and shareholder resolutions, statutory registers, entity information and corporate records.
- Coordinate with corporate secretarial service providers across Singapore and overseas jurisdictions to support annual filings, corporate actions and statutory compliance requirements.
- Support subsidiary governance matters, including records relating to directors, officers, authorised signatories, delegations of authority, intercompany approvals and corporate structure information.
- Prepare, collate, track and file documentation required for board, committee, shareholder and subsidiary governance approvals.
- Maintain governance trackers, approval records and supporting documentation to improve visibility, control and follow-through across key legal processes.
- Support compliance-related workstreams relevant to a listed-company environment, including documentation and coordination relating to SGX-related requirements where applicable.
Intellectual Property Administration
- Support the administration and management of the Group's intellectual property portfolio, including maintaining accurate records of filings, renewals, deadlines and related correspondence.
- Coordinate with external IP counsel on filings, renewals, searches, prosecution updates and other portfolio management matters.
- Maintain IP trackers and escalate upcoming deadlines or required actions in a timely manner.
- Support internal IP documentation, including invention disclosure records, assignment documents and related supporting records.
- Help improve the organisation, visibility and reliability of IP records and portfolio administration processes.
Legal Operations and Infrastructure
- Organise, file and maintain legal contracts, corporate records, approvals and other legal documentation in a clear, reliable and accessible manner.
- Maintain legal trackers, including contract trackers, entity management trackers, IP trackers, approval trackers, external counsel billing trackers and other core legal operations records.
- Help improve visibility of key legal deadlines, actions and obligations by maintaining disciplined tracking and follow-up processes.
- Contribute to the enhancement of the legal department's infrastructure, including templates, playbooks, procedures, checklists, knowledge resources and process documentation.
- Support process improvement and internal control initiatives within the legal function and in coordination with relevant internal stakeholders.
Contract Support and Routine Legal Execution
- Draft, review and manage simple contracts, templates, letters, resolutions, internal legal documents and routine legal correspondence.
- Support contract lifecycle management, including document organisation, version control, filing discipline, renewal tracking and maintenance of accurate contract records.
- Independently manage routine legal documentation and coordination workstreams, while escalating non-routine, sensitive or higher-risk matters appropriately.
- Support day-to-day legal requests from internal stakeholders by helping to organise information, prepare first drafts, track actions and follow through on documentation requirements.
- Assist in identifying, tracking and escalating legal, governance, compliance and documentation risks.
- Coordinate with external counsel and other service providers as required.
- Assist with wider legal support work, including training support and data privacy support, where required.
Qualifications and Experience
- At least 3 years of relevant experience in legal support, legal operations, paralegal work, contract management, corporate secretarial support, governance support, IP administration or a similar in-house legal execution role.
- Prior exposure to corporate secretarial processes, subsidiary governance, contract support, IP administration or legal operations would be advantageous.
- Experience working in or supporting a listed-company environment would be advantageous.
- A law degree, paralegal qualification, corporate secretarial qualification, IP administration experience or equivalent practical experience would be advantageous.
