About the opportunity
- Prepares, drafts, and develops contracts, agreements, documents, etc., for various transactions, determines documentary requirements and sufficiency and enforceability of submitted documents, and reviews documentation status and deficiencies
- Reviews existing/earlier-drafted documents for possible updates, amendments, and modifications of terms, conditions, and stipulations, as well as renewal/renegotiation of existing documents/agreements
- Prepares and drafts, or assists in preparation, formulation and drafting of, new HR and company policies for compliance of employees of HARI and affiliates.
- Prepares and drafts documents and notices in cases involving employee infractions of HARI policies [including but not limited to notices of offense, show-cause memoranda, notices of administrative hearings, minutes of administrative hearings and recommendations for disciplinary action].
- Conducts, or participates in the conduct of, administrative hearings involving erring employees of HARI and Affiliates, for reception of evidence and testimony, determination of guilt or innocence of respondent, and imposition of appropriate penalty/sanction.
- Drafts/reviews correspondence to ensure accuracy and clarity, address customer concerns, and avoid potential exposure to liability.
- Coordinates and confers with external counsel on referred matters, including review of effectiveness of services rendered by external counsel, and evaluation of possible retainers as additional external counsel.
- Assists in the preparation of notices of board/stockholders meetings; minutes of board/stockholders meetings, board/stockholders resolutions, proxy forms, board/stockholders reports, board/stockholders folders, general information sheets, SEC reports, liaison with SEC, etc.
- Attends to proceedings [mediation, arbitration] before the Department of Trade and Industry [DTI].
- Performs other functions as may be assigned from time to time.
Qualifications
- Must be a certified Philippine BAR exam passer
- With or without experience, new bar passers are welcome to apply.
- Specialization in company law or corporate law
- Ability to negotiate, communicate, and document well
- Must be capable of creating, developing, and maintaining strong professional relationships with stakeholders inside and outside of the company
- Highly Proficient in oral and written English
