Job Summary
The Legal Counsel for Corporate & Projects will support the Group General Counsel in delivering legal services across the Alba Renewables Group, with a primary focus on project development, mergers and acquisitions, and corporate legal matters.
This role will be responsible for providing commercially sound legal advice, drafting and negotiating project and transaction documents, and ensuring compliance with applicable laws and regulations. The position requires a hands-on lawyer with experience in renewable energy projects and cross-border transactions, capable of working closely with business teams to enable project execution while managing legal risks.
Key Responsibilities:
Project Development & Transactions
- Support legal aspects of renewable energy project development, including land acquisition, permitting, and regulatory compliance.
- Draft, review, and negotiate project agreements such as Power Purchase Agreements (PPAs), EPC (Engineering, Procurement, and Construction) contracts, O&M (Operations & Maintenance) agreements, Land lease and land rights agreements
- Assist in project financing transactions, including due diligence, review of financing documents, and coordination with lenders counsel.
- Provide legal support throughout the project lifecycle from development to construction and operations.
Mergers & Acquisitions (M&A)
- Support M&A transactions, joint ventures, and strategic investments.
- Conduct legal due diligence and identify key risks and mitigation strategies.
- Draft and review transaction documents, including share purchase agreements, shareholder agreements, and joint venture agreements.
- Coordinate with external counsel and internal stakeholders to ensure smooth execution of transactions.
Corporate Legal & Governance
- Assist in corporate structuring, company incorporations, and restructuring activities across jurisdictions.
- Prepare and review board resolutions, shareholder documents, and corporate filings.
- Ensure compliance with corporate governance requirements and internal policies.
- Maintain corporate records and support statutory compliance obligations.
Contract Management and Advisory
- Draft, review, and negotiate a wide range of commercial contracts supporting business operations.
- Provide day-to-day legal advice to internal stakeholders (business development, finance, operations, HR, etc.).
- Ensure contracts are aligned with company risk appetite and legal standards.
- Support the development and standardization of contract templates and playbooks.
Regulatory & Compliance Support
- Monitor relevant laws and regulations in the renewable energy sector.
- Advise internal teams on regulatory requirements and compliance risks.
- Support the implementation of legal and compliance policies and frameworks.
- Assist in regulatory filings and interactions with government authorities where required.
Risk Management & Dispute Support
- Identify and mitigate legal risks in transactions and operations.
- Support the management of disputes, claims, and potential litigation.
- Liaise with external counsel on disputes and specialized legal matters when necessary.
Stakeholder Management
- Work closely with cross-functional teams to support project execution and business growth.
- Coordinate with external law firms and advisors to ensure high-quality and cost-effective legal support.
- Provide clear, practical, and commercially oriented legal advice to non-legal stakeholders.
Qualifications & Experience
- Qualified lawyer (JD/LLB), admitted to the Philippine Bar
- Minimum 5+ years of post-qualification experience, with at least 2+ years in the renewable energy sector or infrastructure projects
- Experience in Project development and project contracts, M&A and corporate transactions
- Strong understanding of renewable energy regulatory frameworks
- Experience working with cross-functional teams
