Roles and Responsibilities
The Legal Counsel will provide legal, governance and compliance advice, assistance and support in ACEN and across the ACEN group, in particular for the core area of Philippine Development, to the end of ensuring that ACEN and the ACEN group comply with applicable law, avoid and minimize risk and liability, implement and observe governance while achieving business objectives and protecting business interests.
- Provide legal advice, assistance and support in relation to the development and execution of Philippine projects.
- Advise on and support permitting and licensing, regulatory compliance, including in relation to laws, regulations, requirements administered by the DOE, ERC, DENR, NCIP, LGUs, etc.
- Draft, review, revise, negotiate and finalize project development-related contracts, design/supply/installation/construction contracts, other contracts related to project execution, O&M contracts, including develop and update templates as optimal.
- Advise on and support stakeholder engagement, with government, local communities, etc.
- Advise on and assist with disputes, claims, issues.
- Support transition of completed projects to operations.
Education Requirement:
Degree in Law (LLB or JD) and qualification and license to practice law in the Philippines.
Technical Knowledge, Special Trainings and Work Experience:
- At least 8–10 years of experience as an in‑house lawyer (preferably in an energy company) and/or lawyer in a reputable law firm (preferably practicing or practiced in energy also in the firm).
- Extensive experience in regulatory compliance especially in the energy sector.
- Extensive experience in contract preparation, including, in particular, project development and construction contracts and documents.
- Strong experience in managing claims, disputes, and litigation, including, in particular, in relation to project development and construction.
