Job Description

We are seeking a proactive, commercially minded lawyer with a strong background in Philippine labor and employment law, HR advisory, and regulatory compliance to join its Legal and Compliance Department. The role is suited to a candidate who combines sound legal judgment, strong issue spotting, and disciplined execution and who can operate independently in a fast-moving fintech environment.

You will support the Company across labor and employment matters, HR advisory, regulatory compliance, contracts, corporate governance, data privacy, anti-money laundering, consumer protection, risk management, and legal operations. You will work closely with HR, business, product, operations, risk,

finance, and regional stakeholders and will report directly to the Head of Legal and Compliance.

Key Responsibilities

Regulatory Compliance and Licensing

• Own and maintain the regulatory calendar and ensure the timely, accurate submission of reports, renewals, registrations, licences, and other filings with the SEC, NPC, AMLC, BIR, LGUs, and other relevant authorities.

• Monitor legal and regulatory developments affecting lending, fintech, financial services, consumer protection, data privacy, anti-money laundering, taxation, and corporate compliance.

• Translate regulatory requirements into clear, practical policies, procedures, controls, and business guidance.

• Coordinate regulatory examinations, requests for information, and remediation actions, including maintaining complete supporting records and audit trails.

Data Privacy, AML, and Consumer Protection

• Serve as the Company's Data Protection Officer, subject to formal designation, and oversee compliance with the Data Privacy Act, NPC issuances, and internal privacy governance requirements.

• Support the implementation and periodic review of privacy, information-handling, AML, and consumer- protection controls.

• Conduct or coordinate privacy impact assessments, compliance reviews, internal audits, risk assessments, incident-response activities, and corrective-action tracking.

• Promote fair, transparent, and compliant customer practices across lending and collection activities.

Legal Advisory and Contract Management

• Draft, review, and negotiate commercial contracts, vendor agreements, partnership arrangements, confidentiality agreements, and other legal documents.

• Provide accurate, practical, and risk-based legal advice, clearly identifying material issues, available options, and recommended safeguards.

• Support new products, initiatives, and operational changes by assessing legal and regulatory requirements at an early stage.

• Maintain contract, licence, permit, correspondence, and corporate-record repositories using reliable tracking and document-management systems.

Employment, Labor, and HR Advisory

• Act as the principal legal partner to HR and management on recruitment, employment contracts, workplace policies, employee relations, performance management, performance improvement plans, disciplinary action, transfers, grievances, workplace investigations, and employee separation.

• Provide practical and defensible advice on termination, non-regularisation, redundancy, retrenchment, floating status, abandonment, misconduct, negligence, and other just or authorised causes under Philippine labor law.

• Draft and review employment agreements, handbooks, codes of conduct, notices to explain, notices of decision, investigation reports, settlement agreements, quitclaims, waivers, and other HR and employee- relations documents.

• Guide administrative investigations and disciplinary proceedings, ensuring compliance with substantive and procedural due process, proper evidence preservation, accurate fact-finding, and complete documentation.

• Manage or coordinate labor disputes, inspections, conciliation, mediation, and claims before the DOLE, NLRC, NCMB, and other relevant agencies, including case strategy and coordination with external counsel.

• Monitor wage orders, labor standards, statutory benefits, working conditions, occupational safety and health requirements, and relevant labor jurisprudence, and translate developments into timely guidance for HR and business teams.

• Conduct labor-compliance reviews and deliver practical training to HR personnel and people managers on lawful and consistent employee-management practices.

Corporate Governance and Legal Operations

• Prepare and maintain board and shareholder resolutions, secretary's certificates, corporate records, and other governance documents.

• Coordinate document execution, notarisation, regulatory filing, meeting logistics, project closings, and the collection of required supporting documents.

• Establish efficient legal and compliance workflows, trackers, templates, and reporting tools that reduce execution risk and prevent missed deadlines.

• Escalate material legal, regulatory, and compliance risks promptly and support the development and implementation of proportionate mitigation measures.

• Regulatory and corporate deadlines are consistently met, with complete and accurate supporting documentation.

• Employee-relations matters are handled promptly, consistently, and with legally defensible documentation and due process.

• Legal advice is commercially workable, well-reasoned, and focused on protecting the Company's interests.

• Material risks are identified early, communicated clearly, and followed through to remediation.

• Legal and compliance records are organised, current, and readily retrievable.

• Business stakeholders view Legal and Compliance as a responsive, rigorous, and solutions-oriented

partner.

Qualifications

• Juris Doctor or Bachelor of Laws degree and admission to the Philippine Bar in good standing.

• At least three (3) years of relevant legal or in-house experience, including substantial hands-on responsibility for Philippine labor and employment matters and direct legal support to HR and people managers; fintech, digital lending, banking, payments, or financial-services experience is strongly preferred.

• Strong working knowledge of the Philippine Labor Code, labor standards and labor relations, DOLE and NLRC rules and processes, substantive and procedural due process, employee discipline and termination, wage and benefit requirements, and relevant labor jurisprudence, together with working

knowledge of corporate and commercial law, financial-sector regulation, consumer protection, data privacy, and anti-money laundering requirements.

• Demonstrated experience handling employee investigations, disciplinary and termination processes, labor disputes or agency proceedings, employment-document drafting, HR policy review, contract review, regulatory filings, policy development, or compliance monitoring.

• Excellent written and spoken English, with the ability to communicate clearly in a multicultural and cross- functional environment.

• Strong planning, prioritisation, administrative, and organisational skills, with meticulous attention to detail and accuracy.

• Ability to manage competing priorities, work autonomously, exercise sound judgment, and remain effective in a dynamic environment.

• Proficiency in Microsoft Office and Google Workspace, including Excel or Google Sheets and presentation tools.

Preferred Attributes

• Prior in-house experience partnering closely with HR on sensitive employee cases, organisational changes, labor audits, or labor litigation, together with exposure to DPO, privacy, AML, consumer- finance, or regulatory-examination work.

• Strong issue-spotting skills and the discipline to verify facts before giving advice or taking action.

• A practical, ownership-oriented mindset: able to move work forward while knowing when to escalate.

• High professional integrity, discretion, and reliability in handling sensitive information.
