Reporting to the Regional Counsel, the Legal and Compliance Director will work closely with various stakeholders to develop and implement an appropriate and effective legal and compliance strategy and program to enable the Company to comply with applicable laws, regulations, codes and standards. In addition, the Legal and Compliance Director shall provide legal advice and guidance to the Company on legal matters including but not limited to contracts, employment issues, etc.
Key Accountabilities
- Provide expert legal and regulatory guidance to support business decisions and manage organizational risk, including matters relating to corporate governance, employment and business laws, contracts, legal documentation, investigations, disputes, and regulatory compliance.
- Draft, review, negotiate, and manage legal agreements and engagements with external parties, including regulators, government agencies, external counsel, vendors, and business partners, while safeguarding the Company's interests, rights, and compliance obligations.
- Lead the development, implementation, and continuous enhancement of the Company's Legal and Compliance framework, including compliance strategy, governance, monitoring programs, policies, controls, training, and awareness initiatives to ensure adherence to applicable laws, regulations, codes, and industry standards.
- Identify, assess, and mitigate legal and compliance risks, applying sound risk management practices, providing proactive guidance to business leaders, and collaborating closely with Group Compliance and internal stakeholders to address emerging regulatory and operational risks.
- Manage regulatory relationships and compliance obligations with relevant government agencies and authorities (including SEC, PEZA, DOLE, SSS, PhilHealth, PAG-IBIG, DOH, LGUs, and NPC), and, when designated, serve as the organization's Data Protection Officer (DPO) responsible for privacy governance and data protection compliance.
On Policy, Process and Procedure Governance
- Monitor, assess, and communicate regulatory developments and compliance obligations, providing guidance on required actions, supporting business units in implementation, and ensuring ongoing adherence across the organization.
- Oversee compliance monitoring, incident management, and reporting activities, including the investigation of compliance breaches, recommendation of corrective actions, preparation of regulatory submissions, and management of responses to regulatory inquiries.
- Provide legal and compliance support to the business through the review of legal documents, communications, controls, licenses, and governance requirements, while partnering with internal stakeholders and external counsel to address legal and regulatory matters effectively.
- Promote a strong culture of ethics, compliance, and good governance by delivering training and awareness programs, advising business leaders on compliance controls and processes, and supporting the preparation and presentation of materials for governance and leadership committees.
Key Qualifications
- Bachelor of Laws (LL.B./J.D.) and licensed to practice law, with 10+ years of progressive experience in legal, compliance, regulatory, and corporate governance roles within a complex corporate environment.
- Demonstrated expertise in corporate, commercial, contract, employment, and regulatory law, with a strong track record of designing, implementing, and overseeing effective compliance and risk management programs.
- Deep understanding of regulatory frameworks and governance requirements, including experience engaging with regulators, auditors, government agencies, and external counsel on complex legal and compliance matters.
- Proven ability to identify, assess, and mitigate legal and compliance risks, interpret evolving legislation and regulatory developments, and translate requirements into practical business policies, controls, and procedures.
- Strong executive presence, stakeholder management, and communication skills, with the ability to influence senior leaders, lead cross-functional initiatives, manage complex matters independently, and foster a culture of ethics, compliance, and good governance.
