Overview
We are seeking a skilled Junior Contracts Attorney to join our legal team. The successful candidate will be responsible for drafting, reviewing, and negotiating a variety of legal documents, including Master Services Agreements (MSAs), Business Associate Agreements (BAAs), Data Protection Agreements (DPAs) and Non-Disclosure Agreements (NDAs). Proficiency in Microsoft Word, Adobe PDF software, and Contract Management systems is essential.
Key Responsibilities
- Draft, review, and negotiate Master Services Agreements, Non-Disclosure Agreements, and other commercial contracts.
- Utilize Microsoft Word for advanced document formatting, redlining, and version control.
- Manage and edit documents using Adobe PDF software, ensuring security and compliance.
- Administer contracts through the Contract Management system, overseeing the entire contract lifecycle from initiation to execution and storage.
- Collaborate with internal teams to ensure contract terms align with business objectives and compliance requirements.
- Identify and mitigate legal and business risks in contract terms and conditions.
- Maintain organized records of contracts and related documents, ensuring easy retrieval and audit readiness.
- Assist in the development and maintenance of contract templates and playbooks.
- Support the legal team in various projects and initiatives as needed.
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- 1-3 years of experience in contract drafting and negotiation, either in-house or at a law firm.
- Proficiency in Microsoft Word, including advanced document editing and formatting.
- Proficiency in Adobe PDF software for document management and editing.
- Experience with Contract Management systems and processes.
- Strong analytical, drafting, and negotiation skills.
- Excellent written and verbal communication skills.
- Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
Preferred Qualifications
- Experience with additional types of commercial agreements.
- Familiarity with Health Law, State Privacy Law and Contract Law.
- Experience in a corporate legal department or similar environment.
