Job Purpose
Serve as the company's strategic legal partner. Protect company assets, enable business deals, and ensure operations remain compliant. Deliver practical, fast, and commercially sound counsel that balances risk with opportunity — beyond legal theory.
Key Result Areas:
1. Contract Lifecycle Management
Draft, review, negotiate, and close all commercial, vendor, client, NDA, employment, and lease agreements. Partner with Procurement, Sales, HR to balance risk vs business goals.
2. Legal Representation & Dispute Management
Represent the company in labor cases, civil disputes, regulatory hearings, arbitration. Coordinate with external counsel for court litigation. Aim for early settlement to save cost.
3. Business Advisory & Compliance
Give practical, timely legal advice to business units on contracts, data privacy, labor law, licensing, and new projects. Track regulatory changes from SEC, DOLE, BIR, NPC and brief management.
4. Risk + Policy Management
Spot legal risks in new initiatives, M&As, product launches. Maintain legal risk register + company policies. Run compliance trainings for staff.
5. Governance & Documentation
Own the contract repository, board resolutions, secretary's certificates, and legal docs. Support board meetings and regulatory filings.
Cross-functional: Collaborate with all departments.
