Job Description
The Governance & Legal Associate's primary task is to provide professional legal and administrative support to Lendi Group's General Counsel & Company Secretary. The role underpins delivery of high-quality governance outcomes across the Group's Board and Committees, internal management and project-level committees.
This position blends governance and legal rigour with AI-enabled efficiency, supporting all aspects of company secretarial operations, board administration, committee management, and legal documentation.
This position will also provide legal support to the broader legal team where capacity allows. This position requires a qualified lawyer who has experience in governance and company secretarial work, and can interpret and apply Philippine laws, particularly data protection, corporate compliance, and employment-related regulations, within the context of an Australian-headquartered group operating offshore.
Position Responsibilities
Company Secretariat and Governance
- Support the management and administration of the Lendi Group Board, Board Committees, and internal management or project committees, ensuring professional governance standards and smooth operation.
- Prepare and format Board and Committee papers, agendas, minutes, resolutions, and related documentation under GC direction.
- Maintain corporate records, statutory filings, governance registers, and compliance calendars.
- Manage Board Hub and Confluence governance spaces, including version control, access, and archiving.
- Coordinate meeting logistics, scheduling, communication and documentation flow between directors and management.
- Support continuous improvement in governance frameworks, policy documentation, and process automation.
- Assist in maintaining the CoSec resource centre and compliance calendars.
Legal Support
- Draft and review template-based legal correspondence, notices, and internal advice.
- Conduct legal research, including based on Australian obligations, and prepare summaries of relevant laws, regulatory updates, and rulings.
- Assist with document collation for external counsel, regulators, and auditors.
- Liaise with internal teams on policy implementation and compliance documentation.
Data Protection and Regulatory Compliance
- Assist in the monitoring and supporting compliance with Philippine Data Privacy Act of 2012 and associated National Privacy Commission (NPC) issuances.
- Assist in maintaining and reviewing privacy documentation, data processing agreements, and internal privacy registers.
- Support training and awareness initiatives on privacy obligations for PH-based personnel.
- Liaise with Lendi Group's Data Protection Officer (DPO) and Legal team to align PH compliance requirements with Group standards.
Qualifications
- 24 years experience in legal, governance, or compliance-related roles.
- Must be a Juris Doctor (JD) graduate.
- Licensed attorney and member of the Philippine Bar is highly preferred.
- Strong English communication skills (written and verbal).
- Proven attention to detail, confidentiality, and organisational discipline.
- Proficient in Microsoft Office, Confluence, and online collaboration tools.
- Understanding of the Data Privacy Act of 2012 (Philippines) and familiarity with international data protection principles.
