Job Description
Our client is looking for an Assistant Manager / Manager to join their Financial Due Diligence team.
SUMMARY
The Assistant Manager / Manager plays a key role in leading and executing financial due diligence engagements, overseeing end-to-end project execution while ensuring deliverables meet the firm's quality standards. The role involves conducting end-to-end due diligence, preparing and reviewing transaction workbooks, managing document requests and data analysis, analyzing financial statements, identifying trends and issues, and drafting key sections of due diligence reports such as Quality of Earnings, financial summaries, and management discussion decks.
The role actively contributes as a key member of the deal team, engages directly with clients or target management, mentors junior staff, collaborates with onshore teams, and applies analytical and technology-driven approaches to deliver actionable insights. This position requires strong leadership, critical thinking, analytical ability, and a proactive approach to managing multiple engagements in a dynamic, deadline-driven environment.

ROLES & RESPONSIBILITIES
- Conducting end-to-end financial due diligence.
- Identification of issues and carrying out the relevant financial analysis.
- Undertaking smaller assignments or assisting in larger assignments reporting to Associate Director or Director.
- Writing sections of an FDD / VDD report.
- Analyzing in depth the financial information (trial balances, income statements, balance sheets and cash flows).
- Highlighting unusual trends, observations and frame questions for management.
- Interacting with the client or target management.
- Reviewing data books prepared in accordance with firm and professional standards and in accordance with the requirements of the project.
- Reviewing the work performed by the subordinates and coaching them.
- Establishing strong professional relationships with onshore team members.
- Providing support/assistance for proposals/business development.
- Prepare and review transaction Databook/Workbook in accordance with the firm's professional standards and as per the requirements of the projects, with almost no rework and review comments.
- Active and consistent participation as a Deal team member with high proficiency including usage and training of junior team members.
- Prepare, update, and review initial/supplemental document request list and manage gathered data effectively.
- Ability to prepare industry-specific and other ad hoc analyses.
- Preparation of the proposal and scope of work as required by the engagement team(s).
- Prepare Management discussion decks.
- Participate and lead specific sections in management calls and take notes in management meetings.
- Ability to independently draft sections of the FDD Report such as the Background, Points of Interest (basic), Quality of Earnings (proficiency in basic and moderate complexity adjustments, beginning to quantify complex adjustments), Summary Financials and Exhibit.
- Ability to do set up of Debt/Debt like and Net Working Capital analysis with high proficiency and calculate basic to moderate complexity adjustments.
- Proficiency in technology tools such as Alteryx, Power BI, etc.
QUALIFICATIONS
Educational Qualifications / Certifications
- Bachelor's degree
- CA / MBA / CFA / M.Com / PG in Commerce
- CA / MBA Qualified
Work Experience
- Relevant experience from Big 4 or equivalent Transaction Advisory Services practice.
- 5 to 7 years of relevant experience in a similar role, particularly in a professional services firm / third-party KPO / internal research / strategy teams within key technology companies.
- Approximately 7-10 years of related financial due diligence work experience on buy-side and sell-side transactions.
- 5-7 yrs of experience for Assistant Manager and 7-10 years for Manager level
- Team management/People experience.
MANDATORY TECHNICAL & FUNCTIONAL SKILLS
- Deal experience with onshore team including data room management, document request list preparation, management meeting preparation, workbook analysis, Quality of Earnings, due diligence reports, client calls and engagement team calls.
- Team management/People experience.
- Understanding of financial statements, financial ratio analysis, U.K. GAAP accounting standards, financial concepts, etc.
- Advanced Excel skills (vlookups, pivot tables, and advanced formulas), Word and PowerPoint skills.
- Strong analytical skills, including operational and financial analysis, benchmarking, and trend analysis.
- Excellent verbal and written communication skills.
PREFERRED TECHNICAL & FUNCTIONAL SKILLS
- Strong skills in critical thinking, problem identification, resolution and process improvement.
- Able to work within tight deadlines and take responsibility for getting the job done in a timely manner.
- Preferred industry experience in one or more of the following: manufacturing, distribution, consumer products, business services, healthcare, financial services, or technology.
