Listings Specialist
The position is primarily responsible for reviewing listing applications submitted by listed companies, monitoring compliance with the post-approval requirements, assisting other parties in the implementation and interpretation of the Rules and recommending new and/or revisions to said current rules, guidelines and policies for issuers.
Job Description:
- Prepares reports for the PSE Management and PSE Board of Directors on the listing application submitted making sure that all information on the transaction is provided for in the report.
- Conducts due diligence review of applications submitted by listed companies and applicant companies for listing of securities, in accordance with PSE rules, procedures, guidelines, and policies and ensures that the timetable for submission of reports and documents will be met.
- Endorses listing applications for Management's approval.
- Recommends the approval of listing applications and comments to the immediate superior.
- Coordinates with the Disclosure Department regarding the compliance of listed companies with the Disclosure Rules of the Exchange.
- Preparation of Offering Circulars, Implementing Guidelines for IPOs, Listing Circulars in relation to initial and additional listing applications.
- Ensures that the listing rules and the continuing listing rules of the Exchange are enforced, such as the Additional Listing Rules, Minimum Public Ownership Rule, etc.
Disclosure Specialist
The position is primarily responsible for implementing and enforcing the disclosure rules and procedures and maintain the integrity of the Exchange at all times, to maintain or enhance professional relationships with representatives of listed companies to encourage prompt and full compliance with PSE rules, to process disclosure requirements and submissions.
Job Description:
- Analyzes and evaluates disclosure, both financial and non-financial, of listed companies and ensures that the timetable for submission of reports and documents will be met.
- Identifies and analyzes corporate actions and transactions disclosed by listed companies, checks compliance with requirements and Listings and Disclosure Rules.
- Prepares circulars and announcements regarding listed companies.
- Monitors newspapers, online media, press releases, and public sources for any material information affecting the company or the industry.
- Drafts correspondences to listed companies requesting for clarification and/or additional information.
- Monitors submission of structured reportorial requirements and checks compliance with prescribes format.
- Reports to immediate superior cases of non-compliance with reportorial and continuing listing requirements.
Job Requirements:
- Bachelor's degree in Economics, Law, Accounting, Banking and Finance, or related field.
- At least three (3) years of relevant work experience is required
- Familiarity with disclosure or regulatory processes is a plus.
- Strong attention to detail, research, and analytical skills.
- Excellent communication and organizational skills.
- Amenable to work on-site (BGC, Taguig).
