The Institute of Corporate Directors (ICD) is a non-stock, not-for-profit organization committed to raising corporate governance standards in the Philippines. Established in 1999 by Dr. Jesus P. Estanislao, the organization aims to professionalize corporate directorship in response to the lessons of the Asian financial crisis. As part of the Centers for Excellence in Governance (CEG), ICD is an accredited training institute by the Securities and Exchange Commission (SEC), Insurance Commission (IC), Bangko Sentral ng Pilipinas (BSP), and Governance Commission for GOCCs (GCG). The institute plays a vital role in fostering good governance practices and strengthening the corporate ecosystem in the country.

Role Description

The Corporate Governance Manager assists in the onboarding of new department members and supervises the orientation and training of CG Assessors to ensure alignment with organizational standards and objectives. Helps foster and maintain strong working relationships among team members, including CG Analysts and CG Assessors, while leading the assessment of Publicly Listed Companies and Insurance Companies, as well as completing the regional assessment process. Attends ASEAN Capital Markets Forum meetings when instructed by the Director of CG Advocacy and prepares necessary reports, presentations, and databases for the team. Also assists in monitoring sector databases and spearheads the development and maintenance of relationship coordination with various regulatory boards and stakeholders, such as the SEC, BSP, IC, GCG, family-owned corporations, and other clients. Additionally, handles other projects and tasks related to Corporate Governance Advocacy as assigned by the Director of CG Advocacy from time to time.

Qualifications

  • Strong knowledge and understanding of Corporate Governance principles, policies, and frameworks
  • Must possess a bachelor's degree in any field.
  • Willingness and capacity to learn, apply, and master the ASEAN Corporate Governance Scorecard (ACGS).
  • Basic knowledge of corporate governance principles and board practices.
  • Relevant experience in corporate governance, policy advocacy, regulatory affairs, sustainability, or related fields.
  • Experience in stakeholder engagement with regulators, directors, senior executives, and industry groups is an advantage.

Key Skills

  • Report departmental updates during management committee meetings.
  • Attend the ASEAN Corporate Governance Scorecard (ACGS) Experts Group meetings as the lead assessor representative in support of the Philippine Corporate Governance (CG) Expert.
  • Oversee the preparation of written reports and corporate governance review (health checks) as part of the department's services.
  • Oversee and supervise the department's secretariat functions to the Corporate Governance Standards Committee and the Sustainability Committee.
  • Prepare the department's proposed annual budget.
  • Ensure the quality, accuracy, and consistency of Corporate Governance Assessments, including conducting quality checks on assessment outputs and other deliverables.
  • Oversee and ensure the quality of corporate governance services offered by the department which include: comprehensive written reports, corporate governance performance review (health check) report, initial health check assessment, and presentation decks.
