Corporate and Compliance Lawyer
Role Overview
We are seeking a sharp, proactive, Corporate and Compliance Lawyer to join our legal team.In this role, you will be the primary architect of our governance framework and the lead navigator for our corporate transactions. This role will be responsible for providing strategic legal advice on corporate governance, regulatory compliance, commercial transactions, and risk management. You will ensure that as we scale, we do so with integrity, staying ahead of regulatory shifts while providing pragmatic legal advice to our executive leadership. The ideal candidate will combine strong technical legal expertise with practical business judgment and the ability to operate in a fast-paced environment.
Key Responsibilities
Corporate Governance & Transactions
- Advise on corporate structure, governance, and organizational matters.
- Manage board proceedings and ensure compliance with bylaws and statutory requirements.
- Draft, review, and negotiate a wide array of commercial agreements, including M&A documents, vendor contracts, and partnership agreements.
- Support mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and post-closing integration.
- Maintain corporate records and oversee entity management, including board and shareholder documentation.
- Provide legal guidance on capital raises, shareholder matters, and corporate restructuring.
Compliance & Regulatory
- Develop, design, implement, and monitor robust compliance programs, policies, and procedures (including AML, GDPR/Data Privacy, and Anti-Corruption) to mitigate operational risk.
- Advise business units on applicable laws and regulations, including industry-specific requirements.
- Conduct internal investigations and manage regulatory inquiries.
- Monitor legislative and regulatory developments and advise leadership on potential impact.
- Deliver compliance training to internal stakeholders.
- Act as the primary point of contact for regulatory bodies.
Risk Management & Advisory
- Identify legal and regulatory risks and propose mitigation strategies.
- Collaborate with cross-functional teams (HR, Finance, Operations, IT) to ensure legal compliance across functions.
- Support the development of internal controls and corporate ethics initiatives.
- Manage external counsel where necessary and oversee legal budgets related to compliance matters.
Internal Training
- Educate staff and leadership on code of conduct, ethics, and evolving legal obligations.
Qualifications
Education and Licensing
Juris Doctor
Member of good standing in the Philippine Bar
Experience
2 to 5+ years experience in corporate law and regulatory compliance (law firm or in-house experience preferred).
Work experience with a publicly listed company ideal.
Knowledge and Skills
Strong understanding of corporate governance principles and regulatory frameworks.
