KEY RESPONSIBILITIES
- Assisting with the day-to-day assistance of the Company Secretarial function and governance matters;
- Registration of Registered Foreign Companies with ASIC;
- Managing a portfolio of clients;
- Creation and maintenance of hard copies at the Registered Office and on the file server;
- Drafting and filing of forms with ASIC, ATO, TGA, and other relevant regulatory bodies;
- Manage the Monday and CAS BGL database and registers;
- Drafting of directors and members circulating resolutions;
- Drafting of regular reports to the client company directors;
- Manage and maintain business names for all clients;
- Preparation of Share transactions;
- Preparation of Director changes, including resignations and appointments;
- Coordinate legal document execution
- Ensure and (where appropriate) organise D&O Insurance;
- Filing for audit relief where applicable, followed by an annual review of the requirements;
- Liaising with shareholders, professionals, including senior executives, directors, and legal providers, on secretarial matters and corporate transactions;
- Handling client enquiries regarding compliance and best practice corporate governance;
- Drafting of corporate governance materials for clients, such as Board charters and policies;
- Handling of ASIC enquiries and liaison with ASIC officers as required;
- Working with the Resident Directors to ensure good governance;
- Conducting all company, title, and registered charges searches and downloading extracts from ASIC;
- Replying to and following up on risk management questionnaire queries;
- Other ad-hoc duties for clients and Acclime as required.
QUALIFICATIONS
- Bachelor's Degree in Consular and Diplomatic Affairs, Political Science, or other related fields
- Preferably with 1-3 years relevant experience
- Experience in handling ASIC
- Can start immediately
- Knowledgeable in different forms with ASIC, ATO, TGA, and other relevant regulatory bodies
- Must be living and residing in the Philippines
