JOB SUMMARY:

The Legal Manager (Contract Management) will prepare and review most of the Company's contracts and legal documents. He/she will use his legal and commercial acumen in managing business transactions by identifying, managing and mitigating commercial, legal, regulatory and reputational risks, while ensuring ethical behavior and compliance with laws, government regulations, and internal policies.

KEY RESPONSIBILITIES

  • Review and draft several types of contracts in a fast-paced corporate environment which may include master services agreements, outsourcing agreements, statements of work, service level agreements, licensing agreements, data transfer agreements, requests for proposal, service agreements and such other commercial agreements as the company may enter from time to time.
  • Draft and review letters, term sheet, letter of intents, approval papers, and all other documents as may be required by the different departments;
  • The Legal manager will team with the Senior Management and Business Units in supporting complex contracts and deals. He/she will work with business leaders in structuring, negotiating and closing transactions to achieve fair terms and conditions from a legal and business perspective.
  • He/she will be the professional advisor on legal and commercial risks associated with commercial dealings. He/she may be asked to strategize with senior business leaders prior to closing business deals.
  • Educate and advise the stakeholders with respect to legal, compliance, and risk management issues, give accurate and timely advice to the Management and the different departments on various concerns involving document interpretation, boundary disputes, due diligence concerns, permits and licenses, among others;
  • Engage in contract management by ensuring that contracts are executed in accordance with the formalities required by law, properly notarized, and archived in an well-organized data base within the prescribed period for document retention.
  • Communicate and deal with external parties (regulators, external counsel, local government, etc.) creating business relationship founded on trust;
  • Assist due diligence check to ensure proper vendor accreditation and implementation of business ethics among third party suppliers and service providers.
  • Participate in developing internal guidelines, implementing streamlined contract review process, and providing easy-to-understand information to timely address various legal and transactional concerns.
  • Ensure proper filing and monitoring of documents coming in and out of the Legal Department;
  • Perform other legal and transactional tasks as may be assigned from time to time.

Qualifications:

Professional Background

  • Must be a lawyer, and a member in good standing of the Philippine Bar
  • With at least 5 years of solid experience as a Corporate, Transactional or Contracts lawyer gained from a top tier law firm and In-House Legal Department of a multinational or multi-cultural corporation

Knowledge and Skill Requirements:

  • Proven negotiator with an understanding of principle-based negotiation strategy and tactics including the ability to present alternative solutions
  • Proven ability to efficiently manage complex transactions independently
  • Good understanding of contracting/risk issues in the gaming industry is an advantage
  • Excellent legal writing skills, oral and written communication skills in English
  • Must have good analytical and problem-solving skills; and
  • Must possess a high degree of professional ethics and integrity

  • Must have the ability to work with minimum supervision.
