Job Description

The Associate General Counsel provides legal oversight and strategic support to the company's operations in the Philippines. This role advises management and internal departments on corporate, labor, commercial, and compliance matters to ensure adherence to local laws, regulations, and company policies. The successful candidate will serve as a trusted advisor to senior leadership, balancing legal risk with business goals in a fast-paced, collaborative BPO. This position reports to the Chief Legal and Compliance Officer.

Minimum Qualifications:

  • Bachelor of Laws (LL.B) or Juris Doctor (J.D.) degree required.
  • Member in good standing of the Philippine Bar.
  • At least 4-5 years as a licensed legal professional with experience in litigation, disputes, and labor.

Key Responsibilities


General Legal Advisory

  • Provide legal advice and guidance across all departments and business units on a broad range of issues, including corporate, labor, and commercial law.
  • Interpret and apply relevant Philippine laws and regulations to ensure the company's compliance and minimize legal exposure.
  • Support strategic initiatives and provide legal input on projects, policies, and business decisions.

Contracts and Commercial Support


  • Support the Legal department as needed in reviewing, drafting, and interpreting a wide range of contracts, agreements, and business documents to ensure compliance with company policies and regulatory requirements.
  • Advise internal teams on contractual rights, obligations, and risk mitigation strategies.
  • Maintain a contract management process to ensure timely renewals, terminations, and compliance tracking.

Labor and Employment


  • Identify and mitigate HR-related legal risks through proactive policy development and preventive measures.
  • Work closely with HR and Management on employee relations, disciplinary actions, and compliance with labor standards.
  • Represent the company in conciliation and mediation proceedings before the National Labor Relations Commission (NLRC) and the Department of Labor and Employment (DOLE).
  • Draft and file appeal briefs and other legal documents in connection with employment law cases.
  • Conduct legal research and provide written opinions to support HR decisions and internal investigations.

Corporate Governance and Regulatory Compliance


  • Support the maintenance of corporate records, filings, and board resolutions in compliance with SEC, BIR, and PEZA requirements (as applicable).
  • Oversee compliance with applicable laws and internal policies, including occupational safety, data privacy, and anti-corruption regulations.
  • Coordinate with external counsel and government agencies on regulatory matters, audits, and inquiries.
