The Associate General Counsel - Special Projects, Contracts, and Data Privacy provides legal services to AEV, AEV-managed business units, and other assigned business units to help manage legal and regulatory risks. The role leads contract management, supports special projects and dispute matters, and ensures that legal documents comply with applicable laws, Group standards, and Board-approved risk parameters. The position serves as the Legal Point of Contact for assigned projects, coordinates with external counsel as needed, contributes to the legal knowledge center, and supports initiatives that advance the Legal team's objectives.
What You'll Do
- Contracts Management: Draft, review, negotiate, and manage contracts and legal documents to ensure compliance with applicable laws, AEV Legal standards, and approved risk parameters while protecting the company's interests.
- Special Projects Management: Serve as the Legal Point of Contact for strategic transactions and special projects, providing legal advice and leading the review and negotiation of legal documentation to safeguard AEV's and its business units interests.
- Regulatory Compliance: Support regulatory and governance requirements by coordinating legal filings, monitoring regulatory developments, and ensuring timely compliance with applicable laws and regulations.
- Knowledge Development and Sharing: Develop and maintain legal knowledge resources, provide updates on legal and regulatory developments, and support training and initiatives that enhance legal awareness across the organization.
- External Counsel Management: Coordinate and oversee external legal counsel and advisors, ensuring high-quality, cost-effective legal support and strong alignment with AEV's standards and business requirements.
- Disputes Management: Support the management of litigation and potential disputes by preparing legal correspondence, coordinating with external counsel, and ensuring timely fulfillment of case requirements and deadlines.
- Team Management: Foster a collaborative and high-performing team culture through effective coaching, development, and performance management, while promoting AEV's values and strategic objectives.
What We're Looking For
- Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree; must be a member in good standing of the Integrated Bar of the Philippines (IBP).
- At least 5 years of relevant legal experience in contracts, commercial transactions, dispute resolution, or related corporate legal practice.
- Strong working knowledge of corporate and commercial law, including regulatory requirements applicable to AEV and its business units.
- Excellent legal drafting, negotiation, analytical, and stakeholder management skills, with the ability to provide practical legal advice in a business environment.
