Job Purpose
The Corporate Compliance Officer Corporate Secretarial and Research assists Senior Compliance Officers and Manager in providing professional services on corporate secretarial, compliance, and research matters for a portfolio of local and international clients.
Key Responsibilities
- Assists the department in providing company secretarial and statutory compliance to a range of non-listed client companies;
- Coordinates and attends board meetings and prepares board and stockholders meeting materials;
- Maintains and updates company secretarial records, key corporate documents, etc.;
- Maintains shareholder records and provides stock transfer services to non-listed client companies;
- Handles full set of company secretarial documents;
- Communicates with clients independently;
- Issues invoices and follow up on payment;
- In-charge of incorporation of companies as and when requested by clients;
- Prepares and arranges statutory forms for filing;
- General filing of documents and statutory books;
- Redirect clients mails;
- Update and maintain records/information in ViewPoint;
- Perform other duties as assigned.
Key Requirements
- Bachelor of Science Degree holder or equivalent.
- Minimum of 3 years relevant experience related to corporate secretarial functions and dealings with government agencies such as SEC, BIR, DOLE, Immigration etc.
- Good knowledge of corporate secretarial law and familiar with Companies Ordinance, rules and regulations of regulatory bodies;
- Good computer skills with experience/knowledge in Viewpoint system as an advantage;
- Attention to detail with a high degree of accuracy;
- Good command of both spoken and written English and Filipino;
- Independent and able to work under pressure.
